Terms of Service

Welcome to PDD Cloud. These Terms of Service ("Terms") govern your access to and use of the PDD Cloud website, platform, command-line interface (CLI), marketplace, and any related services (collectively, the "Service"), operated by Prompt Driven, Inc. ("PDD", "we", "us", or "our"). Please read them carefully.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization or entity ("Organization"), you are agreeing to these Terms for that Organization and representing that you have the authority to bind that Organization to these Terms. If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract with PDD.
3. Accounts and Security
To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Use of the Service
You agree not to misuse the Service. This includes, but is not limited to:
- Engaging in any illegal or fraudulent activities.
- Attempting to reverse engineer, decompile, or discover the source code, underlying prompts, or proprietary "few-shot examples" that power our Service.
- Interfering with or disrupting the integrity or performance of the Service.
- Using the Service to store or transmit malicious code.
- Violating the intellectual property rights of others.
5. User Content, Marketplace, and IP
a. Your Content
You retain ownership of the intellectual property rights in the content you create and submit to the Service, such as code, configurations, and prompts ("User Content"). However, by submitting User Content to the Service, you grant PDD a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business.
b. Marketplace "Patterns"
The Service includes a marketplace where users ("Creators") can submit high-quality "few-shot examples" or "Patterns" for use by other users. By submitting a Pattern to the marketplace (including via automated features like `--auto-submit`), you grant PDD the right to sell, license, and distribute access to that Pattern to other users. You will be compensated based on the royalty structure defined in Section 7.
c. Plagiarism and Quality Control
You represent and warrant that you have all necessary rights to the Patterns you submit and that they do not infringe on any third-party rights. We reserve the right to remove content, penalize accounts, and enforce stake-slashing penalties for plagiarism or for Patterns that consistently fail to meet our quality standards (e.g., receiving a Quality Score below 3 stars after 50 sales).
6. Purchases, Credits, and Subscriptions
a. PDD Credits (PDDC)
The Service operates on a credit system. PDD Credits ("PDDC") are the native currency of the platform, with a nominal value of 1 PDDC equivalent to $0.001 USD. You can purchase PDDC using a bank card, ACH transfer, or supported stablecoins (e.g., USDC).
b. Credit Expiration
Standard, off-chain PDDC purchased by individual users or provided in Enterprise Credit Vaults expire eighteen (18) months after the date of purchase or issuance. Unused credits at the time of expiration are forfeited. Future on-chain PDDC tokens, when available, will not expire.
c. Marketplace Purchases and Pricing
You may use PDDC to purchase access to Patterns, "Category Passes," or other digital assets on the marketplace. Prices are determined by a dynamic logic that includes base costs, compute add-ons for complex generations, and potential surge adjustments. All prices will be clearly displayed before you confirm a purchase.
d. Buyer Incentives and Features
We may offer certain incentives, such as a Loyalty Rebate for high-volume users or optional "Regeneration Insurance" which, for a premium, provides an automatic refund on the first failed regeneration during a session. Specific terms for these features will be provided at the time of offer.
7. Creator Terms: Payments, Royalties, and Staking
a. Revenue Share
Creators earn a royalty on sales of their Patterns. The royalty percentage is based on your Creator Status, which is determined by factors like lifetime Gross Merchandise Volume (GMV), user ratings, and Quality Score (QS). Tiers range from 50% (Starter) to 70% (Elite) of the net revenue from your Pattern sales. PDD retains the remaining portion as its platform fee.
b. Staking and Slashing
To list Patterns on the marketplace, Creators are required to stake a certain amount of PDDC as a quality and performance bond. The required stake is calculated based on the median sale price of your Patterns, capped at a maximum amount. This stake can be partially burned ("slashed") if your Patterns are found to be plagiarized or consistently fall below our quality thresholds. Staked credits may earn a yield (APY) based on your Creator Status.
8. Payments and Refunds
All purchases of PDDC and marketplace assets are final and non-refundable, except where required by law or as explicitly stated in our policies. We offer an automated refund mechanism for specific, qualifying events, such as a successful claim under our Regeneration Insurance policy. Creator payouts are processed according to a schedule and method detailed in your Creator dashboard.
9. Third-Party Services
The Service may integrate with or contain links to third-party websites or services (e.g., cloud providers, payment processors). We do not control and are not responsible for these third-party services. Your use of such services is subject to their respective terms and policies.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PDD DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PDD, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID TO PDD IN THE 12 MONTHS PRIOR TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless PDD and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including for a violation of these Terms. You may terminate your account at any time by contacting support. Upon termination, your right to use the Service will immediately cease, and any remaining, unexpired PDDC in your account may be forfeited.
14. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
15. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice, such as by sending an email or displaying a notice within the Service. Your continued use of the Service after any modification constitutes your acceptance of the new Terms.
