Terms of Service

Welcome to PDD Cloud. These Terms of Service ("Terms") govern your access to and use of the PDD Cloud website, dashboard, command-line tools, APIs, marketplace, GitHub App, migration assessments, hackathons and other events, AI features, and related services (collectively, the "Service"), operated by Prompt Driven, Inc. ("PDD", "we", "us", or "our"). Please read them carefully.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to accept these Terms for that organization. If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to create and use a general PDD Cloud account. PDD may permit participation in a specific event under separate written event terms and any required parent or guardian consent process.
3. Accounts and Security
Authentication is provided through Firebase Authentication and may use GitHub, Google, or email-based sign-in. You must provide accurate account information, keep your authentication methods and connected-provider credentials secure, and promptly report suspected unauthorized access. You are responsible for activity performed through your account, GitHub installations, connected repositories, and provider connections to the extent under your control.
4. Use of the Service
You may not use the Service to:
- Engage in unlawful, fraudulent, or deceptive activity.
- Access an account, repository, system, or data without authorization or attempt to bypass access, billing, usage, or security controls.
- Interfere with the Service, distribute malicious code, or use the Service to compromise another system.
- Infringe intellectual-property, privacy, confidentiality, or other rights.
- Submit secrets, personal information, source code, or other content that you do not have the right to process or share.
- Reverse engineer or extract non-public prompts, credentials, proprietary examples, or other non-public portions of the Service through unauthorized access or circumvention.
5. User Content, Marketplace, and GitHub
a. Your Content
You retain ownership of intellectual-property rights you hold in code, prompts, configurations, messages, repository content, event submissions, and other content you submit ("User Content"). By submitting User Content, you grant PDD a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that User Content in connection with providing, operating, securing, and improving the Service and making the content available as directed by your settings and requests.
b. Marketplace Contributions and Purchases
If you publish a marketplace listing, you authorize PDD to host, display, evaluate, price, sell or license, and distribute access to that listing and its examples. You must have the necessary rights to the content and metadata you submit. Marketplace purchases grant only the access described in the Service; they do not transfer ownership of the creator's underlying rights.
Marketplace pricing may include a base price, compute add-on, surge adjustment, and optional regeneration insurance amount. Creator tiers, sales volume, and the transaction's creator share and platform share are recorded by the Service. The creator share shown in the Service for the transaction controls; it is credited to the creator's PDD Credit account and ledger.
c. GitHub Content and Actions
Installing or using the GitHub App authorizes PDD to access the repositories and GitHub resources covered by the installation permissions and repository selection. You represent that you have the rights and authorization to grant that access. When requested or configured, the Service may read repository source, issues, pull requests, comments, workflows, and project data and may create or update branches, commits, pull requests, comments, labels, workflows, issues, and project items. You are responsible for reviewing proposed changes and for repository settings, approvals, merges, and deployments under your control.
6. Purchases, Credits, and Billing Settings
PDD Credits ("PDDC") are internal accounting units used to record purchases and consumption within the Service, including AI or compute usage and marketplace transactions. The amount, price, bonus credits, and any applicable feature charges are shown in the Service. PDD Cloud does not currently provide an external wallet, on-chain transfer, user-to-user transfer, or cash-redemption feature for PDDC.
Credit purchases use card payments through Stripe. The Billing page lets you store automatic credit purchase ("auto-buy") preferences, including a selected payment method, balance trigger, purchase amount, and monthly limit. Saving those settings does not by itself confirm that an automatic charging process is active or that a charge will occur. You can disable auto-buy or change supported settings from the Billing page.
7. AI Services and Generated Output
AI features may send prompts, messages, code, repository context, issue or pull-request information, marketplace examples, configurations, and requested output formats to OpenAI, Anthropic, Google, or another configured provider. The provider depends on the model, feature, Service configuration, and any provider account or credential you connect. Provider services may have separate terms, usage limits, and charges.
AI-generated output can be inaccurate, incomplete, insecure, non-unique, or unsuitable for your intended use. You must review and test AI-generated output before relying on, merging, deploying, publishing, or otherwise using it. The Service does not replace professional, legal, financial, security, or other expert review.
8. Payments and Refunds
Stripe processes card transactions. You authorize the charges you confirm at checkout. A future off-session charge would require an active payment feature and separately applicable authorization; storing an auto-buy preference alone does not confirm or authorize a charge.
Except where required by law or expressly stated in a specific offer, completed PDD Credit and marketplace purchases are final and non-refundable. Optional regeneration insurance, when offered and selected, is a separately priced marketplace feature governed by the description shown with that transaction; it is not a general refund promise.
9. Third-Party Services
The Service relies on or integrates with third parties, including Google Cloud and Firebase, GitHub, Stripe, Google Analytics, Brevo, and AI providers. Your use of a connected third-party account or service is also subject to that provider's terms and policies. PDD does not control the availability, output, or independent practices of those services.
10. Disclaimers
THE SERVICE, INCLUDING AI-GENERATED OUTPUT, MARKETPLACE CONTENT, GITHUB CHANGES, MIGRATION ASSESSMENTS, EVENT FEATURES, AND THIRD-PARTY INTEGRATIONS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PDD DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT GENERATED OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR USE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PDD, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID TO PDD IN THE 12 MONTHS PRIOR TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless PDD and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your User Content, your connected accounts and repositories, or your violation of these Terms.
13. Termination
We may suspend or terminate access for a violation of these Terms, nonpayment, suspected abuse, or a security or operational risk. You may stop using the Service and request account closure by contacting us. Termination does not automatically delete records retained as described in the Privacy Policy or affect payment obligations, completed transactions, licenses already granted, or provisions that by their nature should survive.
14. Disputes
Questions or disputes should first be directed to the contact address in Section 16. Any dispute will be subject to applicable law and any enforceable agreement that separately applies to the relevant Service or transaction. These Terms do not designate an exclusive state, country, court, or forum.
15. Changes to Terms
We reserve the right to modify these Terms. If we make material changes, we will provide notice, such as by email or within the Service, and update the “Last Updated” date. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms.
